  • Position based in New York City

  • Responsible for providing legal advice and counsel involving a variety of commercial agreements, including but not limited to technology, supply, distribution, and service agreements and licenses

  • Draft, review, negotiate and advise on a variety of transactions such as procurement of goods and services, internet-related agreements and policies including SaaS and cloud computing agreements, IT and business process outsourcing agreements, retail technology including payment systems, digital asset management solutions, open source, ecommerce, data privacy, inbound/outbound technology and data licensing agreements, software development agreements and SOWs, and services and consulting agreements

  • Collaborate and provide advice regarding supply chain transparency and responsible sourcing matters

  • Coordinate and manage outside law firms with respect to highly complex or specialized transactions as well as litigation arising from breach of contract and other contractually related disputes

  • Advise and counsel all levels within the organization, including senior leadership, to identify critical legal issues, assess potential legal options, and provide individuals and teams with an analysis and range of possible legal solutions

Qualifications

  • JD from a top law school

  • Licensed in NY

  • 10 years of contracting and administrative legal experience at AM Law 200 firm and/or Fortune 1000 company

  • Global experience; experience working with multinational companies

  • Experienced business lawyer with ability to form strong relationships with business leaders and serve as counsel to procurement and GIS teams

  • Experience with internet-related agreements and policies including SaaS and cloud computing agreements, IT and business process outsourcing agreements, retail technology including payment systems, digital asset management solutions, open source, ecommerce, data privacy, inbound/outbound technology and data licensing agreements, software development agreements and SOWs, and services and consulting agreements

  • Experience with contract automation systems and related technology

  • Cosmetic and/or OTC industry experience a plus

  • Ability to execute in a complex matrixed environment

  • Minimum Education level:JD from a top law school

  • % Travel Time:0-5%

  • Licenses or Certifications:Admission in good standing to the Bar of the State of New York
