The Assistant Counsel will be part of a small, highly motivated legal team responsible for providing legal advice and support to corporate functions, as well as select brands and regions, within The Estée Lauder Companies (ELC) including New Business Development. The primary scope of this role will focus on M&A, JVs, business combinations and distributions, as well as the integration of acquired companies. Secondary responsibilities will include supporting other corporate functions (including Tax, Treasury and Finance), as well as select brands and regions. Additional matters include subsidiary management, general corporate matters, and general liability litigation oversight.
The Assistant Counsel will be a member of the Corporate, M&A & Board Affairs Group within the Legal Department, and report to the Vice President, Senior Corporate Counsel, and have the following responsibilities:
Position based in New York City
Responsible for providing legal advice and counsel involving a variety of business combinations, investments, dispositions and other general corporate agreements
Support the New Business Development function in the acquisition of, and investment in, new beauty brands and technology companies. Manage the legal due diligence process including supervising the diligence process, issue spotting, and advising management related thereto
Draft contracts related to M&A, financing, banking, confidentiality, consulting, and other corporate related matters
Draft corporate governance-related documents
Support the execution of integration of new brands and companies into ELC
Assisting in the creation of new template agreements, playbooks and training to support efficient contracting processes and management of legal matters
Coordinate with, and occasionally manage, outside law firms with respect to highly complex or specialized transactions
Advise and counsel all levels within the organization, including senior leadership, to identify critical legal issues, assess potential legal alternatives, and provide individuals and teams with appropriate analyses and advice
Supervise certain litigation matters
Develop knowledge about the ELC’s businesses and products

Experienced business lawyer with ability to form strong relationships with business leaders and serve as counsel to various corporate functions, including New Business Development
Experience with drafting, reviewing and negotiating various business combinations, including mergers, acquisitions, and joint ventures, as well as other general corporate related agreements, such as NDAs, financing documents, and consulting agreements
Experience with corporate governance, subsidiary management
Ability to meet deadlines, prioritize workload, adapt to changing conditions and execute with excellence in a complex matrix environment.
In addition to top-notch legal skills and a strong ethical center, must have excellent interpersonal skills, strategic thinking, communication and organizational skills
Must be able to independently handle complex matters, understand which issues to elevate, and a “grab the bull by the horns” work ethic
Proficient in Microsoft Office, including Excel and PowerPoint, and familiar with collaboration tools like Microsoft Teams or Slack, and Skype
At least 2 years of law firm experience
JD from a top law school
Licensed in NY
