Leading the accounting due diligence of potential new acquisitions, day 1 opening balance sheet setup for new acquisition, development of the back office capability of acquired brands in a non-integrated environment (system, process and people), the ongoing financial reporting, treasury, tax, accounting policy, internal controls and estimate processes, and the final system integration support of acquired brands. Provide global brand finance support for Prescriptives and white space brands (Flirt). Provide the ELCV Global Support overhead budget finance support

  • Financial and Accounting Due Diligence on new acquisitions

o Leading Due Diligence on new acquisition targets with focus on back office system, process and organizations

o Leading assessment of current policy and control environment and highlight areas of risk to be closed pre-signing or post-closing

o Leading the review of the audited financial statements and assess any gaps to US GAAP or local accounting principles

o Leading assessment of key balance sheet line items – fixed assets, inventory, AP, AR and understand overall working capital cash flow position of the company

o Partner with technical accounting and support the tax, treasury and insurance team on their areas of due diligence

  • New Acquisition Day 1 set up

o Closing Balance Sheet(CBS)/Opening Balance Sheet (OBS) with supporting schedules

o Mapping over to SAP

o Closing Statement

o Treasury setup

o 10 key operating control review

o Key financial policy mapping

  • Non-Integrated brands

o Monthly/quarterly financial reporting

 Monthly closing schedules

 Legacy/SAP mapping, uploading and reconciliation

 Corporate monthly/quarterly Reporting Package submission

  • Core balance sheet accounts

  • Material commitments

 Balance sheet key account reviews

 Balance sheet analytics – YOY, current to last quarter

 Monthly management of all topside entries

 Manage all post close corporate requests/questions related to the results

o Monthly/quarterly financial reporting for management

 Plan, actual and estimate

o Treasury

 Own and coordinate treasury related matters

 Cash flow estimate

 Schedule A

 Facility agreements setup

o Tax

 Coordinating all tax queries and reporting with the brand

o SOX/Internal Controls

o Financial Policy/Process Implementation/Integration

o Statutory audit coordination and oversight

o Third party accountant setup and standardization

o Transition Cost Management

o SAP/CPM System access training

  • System Integration support

o Coordinate legal entity shutdown/mergers

o Project manage the process and financial trial balance transition to affiliate entities

o Coordinate related tax and treasury impacts

o Manage current fiscal estimate and actual

o Management reporting

o ELCV Invoice Management

o Monthly management of all topside entries

o Bonus expense/accrual management - GWT

Qualifications

  • CPA Required

  • Minimum 12 years experience

  • Strong PC skills and experience in Windows packages- (Excel, Word, PowerPoint), CPM and SAP

  • Strong analytical skills

  • Experience in budget and monthly estimate processes

  • Well organized and ability to manage multiple projects concurrently

  • Excellent interpersonal and communication (both written and oral)

  • Excellent team player

  • Collaborative leader with strong indirect influence skills
